Public Offer Agreement

Seller – is a private enterprise “TD Alena Goretskaya" certificate of state registration No. 0005462, issued by the Administration of the Moskovsky district of Brest on 04.11.2015.

Registration number in the Trade Register of the Republic of Belarus No. 523491 dated 22.11.2021, legal address: 224030 Brest, Sovetskaya str., 83.

Buyer — an individual who has an intention to order or purchase, or who orders, purchases a product (work, service) or uses the product (result of work, service) exclusively for personal, family, household and other needs not related to the implementation of entrepreneurial activity.

Online store – is the official online store of the Seller located on the Internet address https://papiliodress.by. According to this agreement the terms of Online store, Store and the Internet addresses https://papiliodress.by and are equivalent and interpreted authentically, according to the context of the offer

Goods - property, information about which is posted on the website of the online store and intended for sale.

Website - is a collection of information resources posted on the Internet address https:// papiliodress.by which is owned and maintained by the Seller.

2.1. This agreement defines the procedure for the Seller to conduct the purchase and sale of the Goods through the online store in accordance with Article 405 of the Civil Code of the Republic of Belarus (hereinafter referred to as the Civil Code of the Republic of Belarus) and is the official public offer of the Seller addressed to an indefinite circle of persons.

2.2. The requirements of certain provisions of the Civil Code of the Republic of Belarus, the Law of the Republic of Belarus "On Protection of Consumer Rights," the Law of the Republic of Belarus "On Appeals of Citizens and Legal Entities," the Rules for the Sale of Goods in Retail Trade according to Models, and other regulatory and legal acts of the Republic of Belarus governing the retail sale of goods apply to relations between the Parties under this agreement.

2.3. By making the Order of the Goods online, the Buyer accepts and agrees to all the terms and conditions set forth in this agreement and to the information posted on the Site at the time the Seller accepts the Order.

2.4. The Seller reserves the right to amend this Agreement and the information on the Site, in connection with which the Buyer shall, at the time of contacting the Seller with the Order for the Goods, take into account any changes.

2.5. Publication of information that obviously does not correspond to the goods, including prices, photos and descriptions of the goods, is recognized as a technical error.

3.1 Acceptance of orders on the Website of the Online Store is carried out 24 hours a day. Orders are processed during working hours: Monday-Friday from 10.00: 17.00.

3.2. Ordering of goods in the online store is carried out by the Buyer independently by means of the Site. To do this the Buyer must once register on the Site (create 1 (one) Personal Account), the Seller has the right to unilaterally block the second Personal Account of the Buyer.

3.3. The Seller is not responsible for the accuracy and correctness of the information provided by the Buyer during registration.

3.4. The Buyer, in order to identify him and place orders on the Website of the Online store, declares his personal login (e-mail) and password during registration. All the consequences of transferring your login (information about your email address) and password to third parties are borne by the Buyer.

3.5. When placing an Order through the Website, the Buyer fills out an electronic Order form for the Product and sends the generated Order to the Seller via the Internet.

3.6. When placing an Order through the Website, the Buyer receives a notification email to the email address specified by him, confirming the fact that the buyer has completed the Order form on the Seller's website. This notification letter is not a confirmation of the fact that the Seller has accepted the Order.

3.7. If the Seller finds that the necessary Goods or the required quantity are missing in the Seller's warehouse, the Seller shall inform the Buyer by the contact telephone number reflected in the Order. The Buyer may agree to accept the Goods in the quantity available from the Seller or refuse (cancel) the Order.

3.8. In case the Buyer has questions regarding the description, properties and characteristics of the Goods the Buyer must contact the Seller by telephone or by means of online consultation, indicated on the website of the Online Store before completing the Order.

3.9. The Seller has the right to refuse to confirm or fulfill the order to the client if a technical error is detected in it related to the operation of the software on the Seller's side, or third-party services that ensure its functioning, including those resulting from illegal actions on the part of third parties.

4.1. The price of the Product is indicated next to a certain product name on the Website of the Online store on the product page.

4.2. The price of the Goods on the Website of the Online store can be changed by the Seller unilaterally. At the same time, the price of the Goods for which the Order is placed is not subject to change.

4.3. The Seller has the right to provide Customers with discounts (bonuses) on the Goods. Their sizes are publicly available on the site.

4.4. Payment for the Goods is made only after the Order is confirmed by the Seller, using one of the methods specified on the website.

5.1. Delivery of the Goods is carried out within the terms agreed by the Seller and the Buyer when confirming the order by the Seller's employee.

5.2. Delivery is carried out in accordance with one of the methods chosen by the Buyer when placing an order.

5.3. The Buyer can specify the cost and detailed terms of delivery of the Order on the website of the Online store or by calling the contact phone numbers indicated on the Seller's website.

5.4. The Goods are delivered to the territory of the Russian Federation, with the exception of the settlements indicated on the website of the online store in the Delivery section.

5.5. If the Buyer provides false information: Buyer's data, contact phone number, delivery address - the Seller is not responsible for improper execution of the Order.

5.6. The right of ownership of the Order passes to To the Buyer at the time of delivery of the Goods. The risk of accidental loss or accidental damage to the Goods is borne by the Buyer from the moment of receipt of the Goods.

6.1. The Seller may assign or otherwise transfer its rights and obligations arising from its relationship with the Buyer to third parties.

6.2. The Seller is not responsible for the consequences associated with the actions of the Buyer in the case of using the Goods purchased from the Seller for business purposes.

The Seller is not responsible for the Buyer's losses resulting from:

— the provision of inaccurate information when approving the Order, including incorrect identification information;

— unlawful actions of third parties.

6.4. The Parties shall be exempt from liability for full or partial failure to perform their obligations if such failure was the result of force majeure circumstances arising after the entry into force of this Agreement and/or as a result of extraordinary events which the Parties could not foresee and prevent by reasonable measures.

6.5. In other cases not provided for by the present agreements, for non-fulfillment or improper fulfillment of their obligations, the Parties shall be liable in accordance with the current legislation of the Republic of Belarus.

6.6. In case of unreasonable refusal to purchase the goods, the Buyer shall reimburse the Seller's expenses related to delivery of the Goods to the Buyer.

7.1. The right of the Republic of Belarus should apply to the relations between the Buyer and the Seller.

7.2. In the event of any questions or claims by the Buyer, the Buyer shall contact the Seller in any manner specified on the Site.

7.3. The Parties will try to resolve all disputes through peaceful negotiations. If no agreement is reached during negotiations, disputes will be settled in court in accordance with the current legislation of the Republic of Belarus

7.4. The court's recognition of the invalidity of any provision of this agreement does not entail the invalidity of its other provisions.

7.5. The Seller has the right to use the Buyer's e-mail address and phone numbers to send information messages.

7.6. The Seller has the right to demand 100% prepayment of the ordered goods from the Customer before delivery of the goods ordered by the Buyer. The Seller has the right to refuse to deliver the goods to the Buyer in the absence of such payment. The Seller has the right to demand from Buyer's 100% prepayment of the ordered goods in the following cases:

— if the Buyer has previously made orders, but refused to buy back the ordered goods delivered on time and in proper quality

— for other reasons at the discretion of The seller.

7.7. The Seller has the right not to confirm or cancel the order and notify the Buyer about it, refuse to pay and/or sell the Goods at the specified price if it was the result of a technical error or unlawful actions by third parties. The cost of the product may be a consequence of these circumstances, if it differs from the median cost of this model/modification of the product in the market at a given time by more than 20%. In this case, the Seller has the right to refuse payment and / or sale of this product at the specified price.

8.1. The withdrawal of the offer (the Contract) may be made by the Seller at any time, but this does not constitute a reason to refuse the Seller's obligations under the agreements already concluded.
